1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Supermint Infotech Pvt. Ltd. ("EduPay", "we", "us", or "our") governing your access to and use of the EduPay platform, website, mobile applications, and related services (collectively, the "Services").

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use our Services.

If you are using our Services on behalf of an educational institution, you represent and warrant that you have the authority to bind that institution to these Terms.

2. Definitions

• "Account" means the registered profile created by an Institute Admin to access the Services.
• "Institute" means the educational institution (school, college, coaching center, etc.) using our Services.
• "Student" means any individual enrolled in an Institute who uses our Services to pay fees.
• "User" means any person who accesses or uses our Services, including Institute Admins, Staff, and Students.
• "Content" means any data, text, images, or other materials submitted to or generated through the Services.
• "Fees" means the subscription charges and transaction fees payable by the Institute for using the Services.

3. Account Registration and Security

To use certain features of our Services, you must register for an Account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your Account

We reserve the right to suspend or terminate Accounts that provide false information or violate these Terms.

4. Description of Services

EduPay provides a cloud-based fee management platform for educational institutions, including but not limited to:

• Online fee collection via UPI, NEFT, IMPS, and other payment methods
• Virtual Bank Account (VBAN) and UPI VPA generation for students
• Bus fee management with pro-rata billing
• Extra fee demand creation and tracking
• Staff and payroll management
• Real-time analytics and reporting
• Digital receipt generation and management
• Multi-institute account management

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

5. Payment Terms

5.1 Subscription Fees

Institutes must pay applicable subscription fees based on their selected plan. Fees are billed in advance on a monthly or annual basis, as selected during registration.

5.2 Transaction Fees

Our platform fee covers unlimited transactions on your plan. UPI transactions carry no additional charge. NEFT/IMPS bank charges, if any, are passed through at actual cost.

5.3 Payment Processing

All payments are processed through secure, RBI-authorized payment gateways. EduPay acts as a technology provider and does not hold funds. Collected fees are settled to the Institute's registered bank account within 24 business hours of withdrawal request.

5.4 Taxes

All fees are exclusive of applicable taxes, including GST. The Institute is responsible for paying all taxes associated with the use of our Services.

5.5 Refunds

Subscription fees are non-refundable except as expressly provided in our Refund Policy. We may, at our sole discretion, offer refunds in exceptional circumstances.

6. User Conduct

You agree not to:

• Use the Services for any illegal, fraudulent, or unauthorized purpose
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to gain unauthorized access to any part of the Services
• Upload viruses, malware, or other harmful code
• Harvest or collect personal information of other Users without consent
• Impersonate any person or entity, or misrepresent your affiliation
• Use the Services to transmit spam, chain letters, or unsolicited communications
• Reverse engineer, decompile, or disassemble any part of the Services

7. Content and Data

7.1 Your Content

You retain ownership of all Content you submit to the Services. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such Content solely for the purpose of providing and improving the Services.

7.2 Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws. You are responsible for obtaining necessary consents from Students and Staff whose data you upload.

7.3 Data Backup

While we maintain regular backups, you are encouraged to export and maintain copies of critical data. We are not liable for data loss resulting from your failure to maintain backups.

8. Intellectual Property

All rights, title, and interest in and to the Services, including all software, designs, logos, trademarks, and content (excluding User Content), are owned by EduPay or our licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

9. Termination

9.1 By You

You may terminate your Account at any time by contacting our support team. Upon termination, your access to the Services will be suspended, and we will delete your data in accordance with our data retention policy.

9.2 By Us

We may suspend or terminate your Account immediately if you:

• Violate these Terms or applicable laws
• Engage in fraudulent or abusive behavior
• Fail to pay applicable fees when due
• Cause harm to other Users or the platform

Upon termination for cause, no refund will be provided.

10. Limitation of Liability

To the maximum extent permitted by law:

• We provide the Services "as is" and "as available" without warranties of any kind, express or implied
• We do not warrant that the Services will be uninterrupted, timely, secure, or error-free
• Our total liability shall not exceed the amount paid by you to us in the 12 months preceding the claim
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• We are not responsible for payment failures caused by banks, payment gateways, or network issues beyond our control

11. Indemnification

You agree to indemnify, defend, and hold harmless EduPay and our officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any Content you submit to the Services

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana.

Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days.

13. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and EduPay regarding the Services.
• Severability: If any provision is found unenforceable, the remaining provisions shall continue in full force.
• Waiver: Our failure to enforce any right shall not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our consent. We may assign these Terms without restriction.
• Force Majeure: We are not liable for failures caused by events beyond our reasonable control.
